Messrs TAY & HELEN WONG was set up on 7 June 1999. Its two founding partners, Tay Hong Huat and Helen Wong Wai Tzing (currently consultant to the firm), and partner Chan Chee Woei, have collectively more than 80 years of experience in active law practice in Malaysia. TAY HONG HUAT (“Tay”)
Tay was previously a partner and the co-head of the litigation division in one of the leading legal firms in Malaysia. Having a passion for civil litigation, Tay’s principal areas of practice include pre-emptive strikes, pre-litigation advisory and strategizing, commercial disputes, banking and insolvency matters, corporate litigation, debt recovery, employment, land, securities and torts. He is also experienced in conveyancing and commercial transactions.
Tay has been actively involved in advising on capital reduction, debt restructuring schemes and schemes of arrangement and compromise. He has also been accredited as a Mediator by the Malaysian Bar Council. Having had his education in the prestigious Chung Ling High School in Penang , Tay is conversant in Mandarin besides the National Language and English. In March 2006, he was invited to appear as guest speaker on weekly law educational programme on the national radio Chinese (Ai-FM) channel. He also serves as legal advisor to several organizations. Tay is a Notary Public.
CHAN CHEE WOEI (“Chan”)
As a corporate and commercial lawyer, Chan’s areas of expertise revolve around corporations’ listing exercise on the Main Market, ACE Market or LEAP Market of Bursa Malaysia Securities Berhad, corporate exercises undertaken by public listed companies which come under the purview of Securities Commission and Bursa Malaysia Securities Berhad, undertaking legal due diligence audit exercises, corporate restructuring schemes, merger and acquisitions and takeovers, sale and purchase of shares, business and assets and shareholders or joint venture agreements. He also provides expertise in share issuance schemes, private placements, bonus/rights issues, warrants issues, franchising, licensing, interests schemes, distributorship / dealership / agency agreements, e-commerce agreements and members voluntary liquidation. Currently, he is the go-to lawyer in our firm for work relating to listing exercises on the Main Market / ACE Market / LEAP Market. Chan is a trademark agent.
WONG WAI TZING, HELEN (“Helen”)
Having started her legal career in 1991 after working as a qualified company secretary for many years, Helen was made a partner in a leading legal firm in 1996 but left to set up this firm in 1999. She has actively been involved in corporate and commercial work since 1991.
Her main areas of work cover mergers and acquisitions, take-overs, joint ventures and shareholders’ agreements, management agreements, service agreements, technical assistance agreements, time-sharing scheme, securities, distributorship and franchise agreements. Other areas include advising on flotation exercise on the Main Market and ACE Market of Bursa Malaysia Securities Berhad and the merger of banking and financial institutions. She also sits on the board of several companies.
GENERAL
Tay heads the litigation portfolio and is ably aided by two legal associate; whilst the corporate and commercial portfolio is helmed by Chan Chee Woei (assisted by two legal associate) and the conveyancing department is led by a senior legal associate.
In 1999, THW contributed to the Malaysian government’s novel initiative to merge the country’s 55 financial institutions into the original six anchor groups when it was retained by two financial institutions to undertake due diligence audit and drafting of the requisite documentation. In the past 25 years, the firm had been involved in 2 reverse takeover exercises and 9 flotation exercises on the Main Market ACE Market and LEAP market of Bursa Malaysia Securities Berhad (Malaysian Stock Exchange). The firm is also empanelled as one of the principal solicitors for loan recovery of a major leading bank in Malaysia. Recently, the firm was engaged to advise and act on the retrenchment exercise and closure of 5 plants of multinational corporations.
THW advises on Malaysian laws and acts for Malaysian companies, foreign corporations, multinationals, banking and financial institutions, quasi government bodies as well as individuals. The firm believes in providing value added personalised legal services competently and expeditiously with care and dedication.
